1 Virtual Admin (“1VA,” “we,” “us,” or “our”) provides virtual assistance services to clients (“you” or “your”). By using our services, you agree to be bound by the following terms and conditions:

  1. Confidentiality: We agree to keep all confidential information, such as personal or business information, provided by you strictly confidential. We will not disclose such information to any third party without your prior written consent. This includes but is not limited to financial information, business plans, personal identification numbers and any other information that you may deem confidential. If a third-party requests access to such information, we will inform you immediately and only disclose the information with your express written consent.
  2. Data Protection: We will comply with all relevant data protection laws and regulations, including the UK’s General Data Protection Regulation (GDPR). We will take all reasonable steps to protect your personal data from unauthorised access, alteration, or destruction. We will only process personal data for the purpose of providing our services to you and will not share or sell any personal data to any third party.
  3. Payment Terms: Payment for our services is due in advance. We accept payment via Stripe. We reserve the right to terminate our services if payment is not received within 14 days of the invoice date. We will provide you with an invoice at the end of a task or a project.
  4. Service Level Agreement: We will provide virtual assistance services as agreed upon in a separate service level agreement. This agreement will outline the scope of services, how they will be provided, and any guarantees or warranties. We will provide you with a detailed proposal outlining the services, cost, and estimated completion date before commencing any work.
  5. Termination: Either party may terminate this agreement upon written notice to the other party. We reserve the right to terminate our services immediately if you breach any of the terms and conditions or if you fail to make payment within the specified time frame.
  6. Liability: We will not be liable for any damages arising out of or in connection with our services. You will indemnify us against any claims, losses, or damages incurred by us due to your breach of these terms and conditions.
  7. Changes to these terms and conditions: We reserve the right to change these terms and conditions at any time. Your continued use of our services following any changes indicates your acceptance of the new terms and conditions. We will notify you in writing of any changes to these terms and conditions at least 30 days before the changes take effect.
  8. Governing Law: These terms and conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.
